Terms of Service

These Terms of Service govern your use of Mehrium's website and any engagement with our studio. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Mehrium website (mehrium.com) or engaging Mehrium for software development, AI engineering, design, or any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our site or services.

These Terms apply to all visitors, clients, prospective clients, and any other party who accesses or uses our site or services. Mehrium reserves the right to update these Terms at any time. Continued use of our services following the posting of changes constitutes your acceptance of such changes.

2. Services

Mehrium is an AI-first product development studio. Our services include, but are not limited to: AI development and LLM integration, SaaS platform engineering, web and mobile application development, UI/UX design, brand identity systems, and quality assurance.

All project scopes, deliverables, timelines, and pricing are defined in a separate written Statement of Work (SOW) or project agreement signed by both parties. These Terms supplement but do not replace any such agreement.

3. Intellectual Property & Ownership

Upon receipt of full payment for a completed engagement, Mehrium assigns to the client full ownership of all custom deliverables produced specifically for that engagement, including source code, designs, and documentation. This IP assignment is reflected in each individual client contract.

Mehrium retains ownership of: (a) its pre-existing tools, frameworks, libraries, methodologies, and know-how; (b) any open-source components incorporated under their respective licenses; and (c) any general-purpose internal tooling developed during the engagement that is not specific to the client's product.

Any work displayed on our website as portfolio or case study content is categorized as concept or illustrative material unless explicitly labelled otherwise. No client relationship or endorsement is implied by such content.

4. Confidentiality & NDAs

Mehrium takes client confidentiality seriously. We sign mutual Non-Disclosure Agreements (NDAs) before any substantive technical or commercial discussions begin. The terms of any NDA executed between Mehrium and a client govern the treatment of confidential information disclosed during or after that engagement.

In the absence of a signed NDA, Mehrium will use reasonable care to protect information marked "confidential" by the disclosing party but makes no express warranty regarding such protection.

5. Payment Terms

Payment schedules are defined in each project agreement. Unless otherwise specified: (a) invoices are due within 14 calendar days of issue; (b) Mehrium reserves the right to suspend work on any project with overdue invoices after written notice; and (c) deposits paid to initiate a project are non-refundable once project work has commenced.

Late payments may be subject to a monthly interest charge of 1.5% or the maximum rate permitted by applicable law, whichever is lower.

6. Warranties & Disclaimers

Mehrium warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Mehrium does not warrant that any software will be error-free or uninterrupted, or that it will meet every specific requirement unless explicitly defined in the project SOW.

THE WEBSITE AND ANY ANCILLARY INFORMATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Mehrium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or any services rendered, even if Mehrium has been advised of the possibility of such damages.

Mehrium's total aggregate liability to any client for any claim arising from a specific engagement shall not exceed the total fees paid by that client to Mehrium for the specific project giving rise to the claim in the 12 months preceding the claim.

8. Termination

Either party may terminate a project engagement upon written notice if the other party materially breaches any term of their agreement and fails to cure such breach within 15 calendar days of written notice.

Upon termination, the client is responsible for payment of all work completed to date at the agreed rate. Mehrium will deliver all completed materials within 10 business days of final payment.

9. Governing Law

Mehrium is a registered software company under the Securities and Exchange Commission of Pakistan (SECP). These Terms shall be governed by and construed in accordance with the laws of Pakistan. For clients engaging Mehrium through our Australian operations, applicable Australian consumer law may also apply.

Any disputes arising out of or relating to these Terms or any engagement with Mehrium shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to binding arbitration in the jurisdiction agreed upon by both parties at the time of contracting.
